Inhalt This course provides a comprehensive introduction to the principles, structures, and practical challenges of modern corporate governance, with a specialized focus on strategic executive compensation systems. Set against the backdrop of the Swiss regulatory landscape and international standards, students will explore how companies are directed and controlled to create long-term value and trust. The core content of the course includes:
• Foundations of Corporate Governance: Definition and importance of governance, including the roles of key players such as the Board of Directors, Executive Management, Shareholders, and Proxy Advisors.
• Theoretical Frameworks: Understanding of the core theories underpinning governance, including Agency Theory, Stakeholder Theory, and Stewardship Theory.
• Governance Structures in Switzerland: Examination of legal frameworks, Articles of Association, and Organizational Regulations, as well as different board models.
• Strategic Compensation Systems: Deep dive into the design of incentive models, including fixed and variable components, funding and allocation mechanisms, and the "Pay-for-Performance" principle.
• Contemporary Challenges: Discussion of current trends such as ESG-linked compensation, sustainability reporting, banking regulation, pay transparency, and the impact of AI on governance.
• Shareholder Rights and Say-on-Pay: Understanding the mechanisms of shareholder engagement and compensation voting structures in Switzerland.

Lernziele The course aims to provide students with a foundation in Corporate Governance as an interdisciplinary mechanism to steer and control a company. By the end of the course, students will be able to assess the effectiveness of corporate governance mechanisms, evaluate the impact of different governance structures, and analyze complex executive compensation systems from a strategic, regulatory, and market perspective.

Leistungsnachweis ***IMPORTANT*** To receive course credit and earn academic credits, registration via the Uni Portal within the regular exam registration period (29 October – 12 November 2026) is MANDATORY.
Late registrations and withdrawals will not be accepted. Once the registration period has ended, participation in the course is MANDATORY. If the course is not completed without a valid reason and without proper withdrawal (including supporting documentation; see the Exam Guidelines), the course will be considered failed (grade 1).
